1. About these Terms

1.1 These Website Terms of Use (“Terms”) govern your access to and use of the website https://notainc.co, including all of its language versions and content (the “Website”). The Website is operated by Nota Inc. (“Nota”, “we”, “us” or “our”), a corporation incorporated under the laws of Canada, corporation number 1000640793, with its registered office at 1110 Finch Avenue West, Suite 220, North York, Ontario, M3J 2T2, Canada.

1.2 By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

1.3 These Terms apply to the Website only. Nota’s payment, money transfer and related services, and the Nota platform at https://app.notainc.co, are governed by the Platform Terms and Conditions available at https://app.notainc.co/Platform_T&C.pdf and by any other terms accepted by clients in connection with those services (together, the “Platform Terms”). If there is any conflict between these Terms and the Platform Terms, the Platform Terms prevail.

2. Information Only; No Offer

2.1 The content of the Website is provided for general information about Nota and its services. It does not constitute an offer, solicitation or recommendation to buy or use any product or service, and does not constitute financial, investment, legal, tax or other professional advice.

2.2 Nota provides services only to clients that have completed Nota’s onboarding and verification process and have been accepted by Nota in accordance with the Platform Terms. The availability of services, features, currencies and payment methods described on the Website depends on the client, its jurisdiction and Nota’s compliance review, and may differ from the description on the Website.

3. No Solicitation

3.1 Nota’s services are provided by Nota Inc. from Canada. Nota does not offer or market its services to persons in any jurisdiction where such an offer or marketing would be unlawful, or would require a license, registration or other authorization that Nota does not hold. Information about Nota’s regulatory status is set out in the Regulatory Information section of the Website.

3.2 The Website is accessible from many jurisdictions and is available in several languages. Neither the accessibility of the Website nor the availability of any language version constitutes an offer or solicitation directed at persons in any particular jurisdiction.

3.3 Persons who access the Website from outside Canada do so on their own initiative and are responsible for compliance with the laws of their jurisdiction. Nota may decline to provide services to any person, including on the basis of the person’s jurisdiction.

4. Accuracy of Information

4.1 We aim to keep the Website accurate and up to date, but we do not guarantee that its content is complete, accurate or current. Descriptions of services and features, figures and examples on the Website are illustrative and may change without notice. The terms on which services are provided are set out exclusively in the Platform Terms.

4.2 The Website may include links that allow you to request a summary of Nota from third-party artificial intelligence tools. Such summaries are generated by the relevant third party, are not prepared, reviewed or endorsed by Nota, and may be inaccurate or incomplete. You should not rely on them as a statement made by Nota.

5. Eligibility and Use of the Website

5.1 You may not use the Website if you are located in, or are a national or resident of, any country or territory that is subject to comprehensive sanctions, if you are a person who is the subject or target of sanctions, or if your use of the Website is prohibited by the laws of your jurisdiction.

5.2 You must not:

  • (a) use the Website for any unlawful or fraudulent purpose;
  • (b) attempt to gain unauthorized access to the Website or to any system or network connected to it;
  • (c) introduce viruses or any other harmful code;
  • (d) use any automated means, including scraping or data mining, to access or collect content from the Website, other than standard search engine indexing; or
  • (e) interfere with the proper functioning of the Website.

6. Intellectual Property

6.1 The Website and its content, including text, graphics, logos, the Nota name and trademarks, design and software, are owned by or licensed to Nota and are protected by intellectual property laws.

6.2 You may view and print content from the Website for your own information or internal business use. You may not copy, reproduce, modify, distribute or commercially use any content of the Website without Nota’s prior written consent.

7. Third-Party Links

7.1 The Website may contain links to third-party websites and services, including partner websites and social media. These links are provided for convenience only. Nota does not control and is not responsible for the content, availability or privacy practices of any third-party website or service, and a link does not imply endorsement.

8. Privacy and Cookies

8.1 Our Privacy Policy explains how we process personal data, and our Cookie Policy explains how we use cookies on the Website. Both are available on the Website.

9. Disclaimer

9.1 The Website is provided “as is” and “as available”. To the maximum extent permitted by law, Nota makes no representations or warranties of any kind regarding the Website, including that the Website will be available, uninterrupted, secure or free from errors or viruses.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, Nota shall not be liable for any loss or damage arising out of or in connection with your access to or use of, or inability to use, the Website, or your reliance on any content of the Website, including any indirect, incidental or consequential loss, and any loss of profit, revenue, data or business opportunity.

10.2 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

11. Changes

11.1 We may change these Terms and the Website at any time. Changes take effect when published on the Website, and the “Last Updated” date above shows when these Terms were last revised. Your continued use of the Website after changes are published means that you accept them.

12. Governing Law

12.1 These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The courts of the Province of Ontario have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Website.

13. General

13.1 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

13.2 The Website is available in several languages. These Terms are prepared in English. Any translation is provided for convenience only, and in the event of any inconsistency the English version prevails.

14. Contact

14.1 Questions about these Terms may be sent to support@notainc.co.
